Louis D. Bianchi

Louis advises businesses and commercial entities on a wide range of general corporate, business, and transactional matters, including, without limitation, entity formation and management, commercial real estate transactions, contract drafting and review, mergers and acquisitions, loan transactions, and general corporate governance and compliance issues. For emerging companies, Louis has a vast amount of experience drafting constituent documents, including without limitation bylaws, shareholders’ agreements, and operating agreements. While representing more established companies, Louis has acted as general and transaction counsel. With respect to his work as transaction counsel, Louis has experience drafting and negotiating term sheets, stock and asset purchase agreements, board and stockholder consent, and other transaction documents for private company financing and acquisitions.

Additionally, Louis represents commercial financing institutions in various types of lending transactions, including, without limitation, the financing of construction projects, the financing of equipment, the re-financing of prior loans, and the financing of lines of credit.

Before joining the firm, Louis was an associate at a large full-service business law firm in upstate New York.

Louis earned his Juris Doctorate from Albany Law School of Union University, where he graduated Summa Cum Laude. Additionally, while at Albany Law School of Union University, Louis served as a member of Albany Law Review, a member of the Sports and Entertainment Law Society, and the Vice President of Albany Law Basketball Club.

Louis holds a Bachelor of Science in Finance from Siena College, where he graduated Summa Cum Laude. While at Siena College, Louis received honors as a member of Beta Gamma Sigma, Delta Epsilon Sigma, and the 21^st Century Leaders Society. He also played for Siena’s Club Baseball team, which finished 8^th in the country, and where he served as the captain.
